Where we begin

What kind of business are you planning?

Need to invoice clients, start your own business or move your work to Serbia? We will arrange registration and connect it with banking, tax and immigration tasks. Before submission, you will receive a clear scope of work: what we do, what documents you provide and what ongoing costs the business will have.

Working independently

Are you a developer, consultant or another service provider? We will check whether a sole trader structure is suitable, whether flat-rate taxation is available and how your client relationships work. We will calculate ongoing business costs before registration, not after the first tax notice.

Setting up a company with partners

We will agree the DOO’s shares, director, address and activity. If a founder is a foreign company, we will review the ownership chain and documents. We will plan the bank account, accounting, employees and signing powers separately.

Changing or closing a business

A new address, partner or director, a pause in activity or closure involve different procedures. We will prepare the necessary decisions and coordinate the steps with your accountant, bank and current immigration status.

Sole trader, DOO or changes to an existing business

Open the relevant option for documents, sequence, timeframes and itemised costs. If you have not chosen a structure, we will compare options based on your clients, turnover and development plans.

Sole trader / Preduzetnik — for independent work

For a professional or small business owner who does not need a structure with partners’ shares. A sole trader is not synonymous with flat-rate taxation: the tax regime is selected separately. The entrepreneur is personally liable for obligations, so we assess the nature of contracts as well as registration costs.

Main documents

  • Passport copy, exact business registration address and email
  • Description of activities, preferred name, client details and planned start date
  • Power of attorney for representative submission; a permit or consent if required for the activity

Application process

  • We will select an activity code and check the regime with an accountant: flat-rate taxation or bookkeeping. For client work, we will assess independence-test risks
  • We will prepare the application, check the address against the official address register and complete APR registration
  • We will check the decision and PIB tax number; under the agreed package, arrange banking, accounting and necessary electronic access

Timeframes

APR’s usual decision period is 5 working days from receipt of the application. Document preparation and opening an account are separate stages; we will include their timeframes in your plan.

RICS servicesFrom €200 for a basic registration task. Banking and accounting support are quoted separately.

Government feesAPR sole trader registration — RSD 2,500.

Other costsTranslations and certifications as required; address, account, electronic signature and ongoing services. We will calculate taxes and contributions for the selected regime.

DOO — a company for one owner or partners

For a business with shares, a team, trading activities or a separate corporate structure. One person can establish a DOO: a Serbian partner is not required for registration itself. Unlike a sole trader, a company has its own money and obligations; personal payments to its owner need an appropriate legal basis.

Main documents

  • Shareholders’ passports and director’s details; for a foreign corporate founder, a registry extract and evidence of authority
  • Name, address, activity code, shareholdings, capital and governance arrangements
  • Founding act, director appointment decision if needed, power of attorney and electronic submission documents; we will prepare these with you

Application process

  • We will agree the company structure, check the name and prepare the founding act
  • We will submit electronically to APR: paper submission is not used to establish a DOO
  • We will help register the beneficial owner with supporting documents within 30 days of incorporation. We will prepare the action for the director or another registered company representative
  • Under the agreed package, we will prepare bank forms, introduce an accountant and determine arrangements for the director, employees and electronic services

Timeframes

APR usually decides within 5 working days of receiving the application. The full launch timeframe also depends on corporate document preparation, the electronic signature and the bank’s review.

RICS servicesRegistration services start from €200. The cost of establishing a particular DOO depends on its founders, documents and scope of support.

Government feesAPR DOO incorporation — RSD 8,000. The usual minimum registered capital is RSD 100: this is a contribution to the company, not a government fee or payment for our services.

Other costsNotary, translation and, where required, legalisation of foreign documents; address, electronic signature, bank and accounting. Regulated activities may need additional permits.

Changes — address, activity, director or shareholders

When a company or sole trader is already operating and registered details need updating. We will check related actions: for example, a shareholder change may require updating beneficial ownership details and bank forms, while an address change may affect certain tax parameters.

Main documents

  • Current APR details and a description of the required change
  • Shareholder or meeting decision and documents of the new director or shareholder, depending on the transaction
  • Share transfer agreement, amended founding act and power of attorney if required

Application process

  • We will determine which changes can be combined in one submission and which documents are needed
  • We will prepare decisions, applications and attachments and handle registration
  • We will check the updated entry and provide a list of related actions for the bank, accountant and beneficial ownership register

Timeframes

APR usually decides within 5 working days of receipt. For corporate changes, we check the filing deadline in advance to avoid an additional late-filing fee.

RICS servicesFrom €200 for an agreed registration task; multiple changes and complex corporate documents are priced by scope.

Government feesA basic change to sole trader details costs RSD 1,400; for a DOO, RSD 4,000. Multiple changes, shareholder registration and separate documents may increase the fee.

Other costsSignature certification, translations and additional documents; where necessary, accounting and legal work on the transaction itself.

Suspending and resuming sole trader activity

If work stops temporarily, a sole trader can register a suspension and later resume. A DOO has no equivalent arrangement. Before submission, we will review employees, contracts, tax status and the connection between the business and your residence and work permit.

  • Sole trader details, planned suspension or resumption date and power of attorney
  • Employee information, existing obligations and tax regime for coordination with the accountant

Application process

  • We will agree the date and check for restrictions on the registration action
  • We will prepare the application with the suspension or resumption attachment and submit it to APR
  • We will coordinate the consequences for charges, reporting and current contracts with the accountant

Timeframes

APR’s registration decision usually takes up to 5 working days. We will agree the suspension date and procedure before submission; suspension does not cancel existing debts.

Government feesRegistration of a change to sole trader details — RSD 1,400.

Other costsSettlement of existing contracts, employee payments and accrued obligations; possible ongoing costs for the account or address.

Closing a sole trader business or voluntary DOO liquidation

When a business is no longer needed, tax, employment and contractual matters must be concluded. For a sole trader, we prepare removal from the register; for a solvent DOO, a multi-stage liquidation. If funds are insufficient to settle obligations, we will first identify another lawful procedure.

Main documents

  • APR details, reports and information on debts, employees, accounts and active contracts
  • For a sole trader, the application and required tax-clearance confirmations from the national and local tax authorities; these must be no more than 5 days old at submission
  • For a DOO, decisions, liquidator documents, reports and tax confirmations for each stage

Application process

  • With the accountant, we will check the books, settlements, VAT and obstacles to closure
  • For a sole trader, we will prepare the final filing; for a DOO, register liquidation and handle documents and mandatory publications
  • After the conditions are met, we will arrange removal from APR and coordinate final reporting, banking and archiving steps

Timeframes

A DOO can apply for removal after liquidation no earlier than 120 days after publication of the notice and fulfilment of the other conditions. For a sole trader, the overall timeframe mainly depends on settlements and tax certificates being ready.

Government feesRemoval of a sole trader from APR — RSD 1,400; removal of a DOO — RSD 4,000. For a DOO, prior registration steps and publication of mandatory documents are charged separately.

From registration to your first business transactions

Structure and costs before submission

We will compare sole trader and DOO structures using your activity, turnover, expenses, clients, partners and employees. We will prepare an opening and operating budget so a low registration price does not obscure future payments.

Documents and registration

We will prepare the application and corporate documents, check the name and address, and arrange the necessary signatures, translations and filing. You will receive APR’s outcome and a clear explanation of the registered details in Russian.

An account ready for payments

If banking support is included, we will gather information about the business, owners, counterparties and planned transactions. We will help with forms and responses to the bank. Before you travel, we will identify when your personal attendance is required.

Obligations after opening

With the accountant, we will determine bookkeeping, taxes, arrangements for the director and employees, and any need for fiscalisation and electronic invoices. For a DOO, we will include beneficial ownership registration and annual data verification in the plan. Residence support is a separate agreed stage.

Sequence and timeframes

Your business — with a clear plan

  1. Choose a model using your figures

    We will review future transactions, partners and clients. We will choose a sole trader or DOO structure, tax approach and tasks involving the account, address, bookkeeping and residence.

  2. Agree the scope and budget

    You will see separate items for our work, the APR fee, translations and notary, and additional services. We will agree the price and timeframe of our work before starting.

  3. Prepare and submit the documents

    We will check the name and address, prepare documents and necessary authorisations, submit the application, monitor the decision and explain any additional steps.

  4. Help you start operating

    We will check the APR entry. Under your chosen package, we will arrange banking, accounting and electronic access. We will provide a specific list of what to do before the first transactions and after launch.

Before submission

Passport and corporate details, a name, address and signatures are needed first. A foreign corporate founder, translations and legalisation extend the preparation stage.

5 working days — APR

The usual decision period after receipt of the application. If APR requests official information itself, the period starts when it receives that information.

After registration

The bank conducts its own review. For a DOO, beneficial ownership details and documents must be recorded within 30 days after incorporation; we plan the necessary accounting and employee steps immediately.

DOO liquidation is a separate project

120 days from publication of the notice is only the minimum threshold for the final removal application. Settlements, reports and other conditions may extend the overall timeframe.

Five working days is the registration decision period, not a promise to open an account and fully launch the business within that time. Your plan will have separate stages, responsibilities and estimates for each.

RICS services for a basic registration task

The quote will specify which applications and documents we prepare, who files them and which subsequent stages we support. A full launch with banking, address, accounting or residence consists of selected services, not one registration price.

Additional costs, if required

  • APR opening fee: sole trader — RSD 2,500; DOO — RSD 8,000
  • Translations, notary and legalisation of foreign documents as needed
  • Address, electronic signature, banking and beneficial ownership support according to the package
  • Accounting, taxes, employees and immigration procedures are separate budget items

APR fees reflect the check on 17 September 2026; we verify the current rate before payment. DOO capital is not a fee. We fix the agreed price for our services before work starts and discuss any scope changes in advance.

Answers before your first filing

What should I choose if I work alone with clients abroad?

We do not select a structure based only on the registration fee. We first consider your activity, turnover, expenses and client relationships. For a sole trader, we check the tax regime and independence test; for a DOO, accounting costs, the director’s arrangement and payments to the owner. We then show the difference using your figures.

How much tax will I pay each month?

There is no universal amount for all sole traders. For flat-rate taxation, the preliminary calculation depends on factors including activity, address and insurance status. For a business keeping books, actual transactions and the chosen model matter. We will prepare an estimate before registration and identify accounting and banking costs separately.

Does RSD 100 in capital cover all DOO costs?

No. This is the usual minimum registered contribution to the company, not its opening price. APR, preparation and execution of documents, and, if needed, address, account, electronic signature and ongoing services are paid separately. Capital requirements may be higher for some regulated activities.

Do I need to come to Serbia to open a business?

We will begin preparation remotely. DOO registration is electronic, but signatures and authorisations must be properly arranged. We will agree the banking stage separately: remote options and the need for a personal visit depend on the bank and your documents.

Are the account, accounting and residence included in the starting price?

These are separate tasks that can be combined in your package. You will receive a breakdown, not an unclear “all-inclusive” offer. Business registration alone does not grant residence or the right to work: we will check the appropriate immigration procedure for the owner and family.

Can I simply stop using the company?

No sales does not mean the business is closed. A sole trader can register a suspension depending on the circumstances; a DOO has no equivalent arrangement, and bookkeeping and reporting obligations may continue. We will help you choose between maintaining, restructuring and closing the business.

Why is beneficial ownership registration needed?

A DOO must record the individual who owns or controls the company and attach supporting documents. We will check who performs the action and with which electronic signature, to avoid missing the post-registration deadline. We will also include the subsequent annual data check in the calendar.

Client’s task

A Russian citizen planned to open her own consulting business in Belgrade and obtain residence through self-employment.
